PREAMBLE

These general terms and conditions of sale (hereinafter the "Terms") apply to all sales of products concluded on the website www.jeannette1850.com between the company SAS JEANNETTE 1850 (hereinafter the "Seller") and any non-trading natural person making a purchase for purposes unrelated to their commercial, industrial, craft, professional or agricultural activity (hereinafter the "Buyer" or the "Customer").

The website www.jeannette1850.com sells the following products: pastry products (madeleines, financiers, cakes and associated gift boxes).

Validation of the order by the Buyer constitutes unreserved acceptance of these Terms. The Buyer declares having read the Terms prior to placing their order and having accepted them by ticking the box provided for that purpose.

ARTICLE 1 — PRINCIPLES

These Terms set out the entirety of the parties' obligations. The Buyer is deemed to accept them without reservation upon validating their order.

These Terms apply to the exclusion of all other conditions, in particular those applicable to in-store sales (factory outlet), B2B sales (to professionals), or any other distribution channel. B2B sales are subject to separate general terms.

The Terms are accessible at any time on the website www.jeannette1850.com and shall prevail, where applicable, over any other version or any other conflicting document.

The Seller reserves the right to amend these Terms at any time. The applicable Terms are those in force on the date the Buyer places their order.

Should any condition of sale be missing, it shall be deemed governed by the customary practices in force in the distance-selling sector for companies with their registered office in France.

ARTICLE 2 — SCOPE OF APPLICATION

These Terms are intended to define the rights and obligations of the parties in connection with the online sale of products offered by the Seller to the Buyer via the website www.jeannette1850.com.

These Terms apply solely to purchases made on the website www.jeannette1850.com and delivered exclusively within mainland France (excluding islands not served by DPD mainland France, Corsica, overseas departments and territories, and abroad). For any delivery request outside mainland France, the Buyer is invited to contact the Seller at conso@jeannette1850.com to discuss shipping arrangements.

ARTICLE 3 — PRE-CONTRACTUAL INFORMATION

The Buyer acknowledges having received, prior to placing their order and concluding the contract, in a legible and comprehensible manner, these Terms and all the information listed in Article L. 221-5 of the French Consumer Code.

In particular, the following is communicated to the Buyer in a clear and comprehensible manner:

the essential characteristics of the product;

the price of the product and the method of calculating the price;

any additional transport, delivery or postage costs and any other charges that may be payable;

the date or time frame by which the Seller undertakes to deliver the product;

information relating to the Seller's identity, postal, telephone and electronic contact details, and its activities;

information relating to the statutory guarantees (conformity and hidden defects), their scope and the arrangements for implementing them;

the conditions, time frame and arrangements for exercising the right of withdrawal, as well as the standard withdrawal form;

where applicable, the existence of a consumer mediator with jurisdiction over the Seller.

ARTICLE 4 — THE ORDER

The Buyer may place their order online, from the online catalogue and by means of the form provided, subject to available stock. The Buyer will be informed of any unavailability of the product ordered.

To place an order, the Buyer must follow these steps: selecting products and adding them to the basket, checking the contents of the basket, logging in or creating a customer account, choosing the delivery method and delivery address, choosing the payment method, expressly accepting these Terms by ticking the box provided for that purpose, and final validation of the order, which entails an obligation to pay.

Before final validation, the Buyer may check the details of their order and its total price, and correct any errors before confirming acceptance.

The sale shall be considered final after:

the Seller sends the Buyer confirmation of acceptance of the order by email; and

the Seller collects payment of the full price.

Any order constitutes acceptance of the prices and description of the products available for sale. Any dispute on this point shall be handled within the scope of the guarantees mentioned below.

The Seller reserves the right to refuse or cancel any order from a Buyer with whom there is a dispute relating to payment of a previous order, in the event of a manifestly fraudulent order, a payment incident, or non-compliance with these Terms. In such cases, the Buyer will be informed by email and any sums already paid will be refunded in full.

ARTICLE 5 — ELECTRONIC SIGNATURE

Providing the Buyer's payment card number online or final validation of the order by any other means of payment constitutes, in accordance with Articles 1366 and 1367 of the French Civil Code, proof of the Buyer's agreement, of the sums due under the order becoming payable, and of the signature and express acceptance of all transactions carried out.

In the event of fraudulent use of the payment card, the Buyer is invited, as soon as such use is noticed, to contact the Seller on 02 31 70 81 00 and to lodge an objection with their bank.

ARTICLE 6 — ORDER CONFIRMATION

The Seller provides the Buyer with an order confirmation by email, summarising the products ordered, the price, the delivery arrangements and the estimated delivery time.

ARTICLE 7 — PROOF OF TRANSACTION

The computerised records kept in the Seller's information systems under reasonable security conditions are considered as proof of the communications, orders and payments made between the parties. Invoices are archived on a reliable and durable medium that can be produced as evidence.

ARTICLE 8 — PRODUCT INFORMATION

The products governed by these Terms are those featured on the Seller's website and indicated as sold and dispatched by the Seller. They are offered subject to available stock.

Products are described and presented as accurately as possible. However, should errors or omissions occur, the Seller's liability may only be engaged within the limits provided for by law.

Product photographs are provided for illustrative purposes only and have no contractual value. Slight variations in appearance, colour or presentation may exist between the photographs and the products delivered, without this being capable of engaging the Seller's liability or calling into question the validity of the sale.

In accordance with the FIC Regulation (EU Regulation No. 1169/2011), information relating to composition, allergens, nutritional values and the origin of ingredients is available on the product page for each item.

ARTICLE 9 — STORAGE OF PRODUCTS

The Best-Before Date (BBD) is 90 days from the manufacturing date, or 60 days from the manufacturing date for organic-certified products.

Products must be stored away from heat, direct light and humidity, in their unopened original packaging.

The Seller guarantees that, on the date of dispatch, the products dispatched have a remaining BBD of at least 30 days, unless otherwise explicitly stated on the product page (for example, for products offered as clearance items or discontinued lines).

ARTICLE 10 — PRICE

Prices are shown in euros inclusive of all taxes, excluding delivery costs. Delivery costs are charged in addition and clearly indicated before the order is validated.

Prices take into account the VAT applicable on the day the order is placed. Any change in the applicable VAT rate will automatically be passed on to the price of the products in the online shop.

The Seller reserves the right to amend its prices at any time but undertakes to apply the rates in force as indicated at the time of the order, subject to availability on that date.

Should one or more taxes or charges, in particular environmental ones, be created or amended, whether increased or reduced, this change may be passed on to the sale price of the products.

ARTICLE 11 — METHOD OF PAYMENT

Placing an order entails an obligation for the Buyer to pay.

To pay for their order, the Buyer may choose from the following payment methods:

payment card (Visa, Mastercard, American Express subject to availability);

PayPal;

any other payment method offered on the website's payment page.

Payment of the price is made in full on the day the order is placed.

Payments by payment card are secured by the payment systems used by the website (in particular 3D Secure). The Buyer's bank details are never retained by the Seller.

The Buyer guarantees to the Seller that they hold any authorisations that may be necessary to use the chosen payment method.

The Seller reserves the right to suspend any order processing and delivery in the event of refusal of payment card authorisation by officially accredited bodies, or in the event of non-payment.

ARTICLE 12 — PRODUCT AVAILABILITY AND UNAVAILABILITY AFTER ORDERING

12.1 Dispatch times

Except in cases of force majeure or during periods when the online shop is closed, which will be clearly announced on the website's homepage, orders are dispatched within 8 working days from the day following the day on which the Buyer placed their order, subject to available stock and excluding promotional offers or exceptional circumstances.

At the latest, the delivery time will be 30 days after conclusion of the contract, in accordance with Article L216-1 of the French Consumer Code.

Delivery times are indicative; the Seller cannot be held liable for delays beyond its control (in particular carrier delays or force majeure).

The Seller reserves the right to split deliveries. In such cases, delivery costs will only be charged for a single shipment.

12.2 Unavailability of a product after ordering

In the event of total or partial unavailability of a product after the order has been placed, the Seller will inform the Buyer as soon as possible by email.

In accordance with Article L216-3 of the French Consumer Code, the Buyer then has the following options:

cancellation of the order for the unavailable part: the Seller refunds the sums paid corresponding to the unavailable products and, in the event of total cancellation, the delivery costs. The refund is made within a maximum of 14 days from the request, using the same payment method as that used for the order;

maintaining the order for the available products: the Seller dispatches the available products and refunds the unavailable products under the same time frame and payment method.

As a goodwill gesture and subject to the Buyer's express agreement, the Seller may also offer to replace the unavailable product with an equivalent product, or to issue a credit note worth 10% more than the amount of the unavailable product, valid for 12 months across the whole website. These options may under no circumstances be imposed on the Buyer, who retains the right to a refund at all times.

12.3 Failure to meet the delivery deadline

In the event of failure to meet the agreed delivery deadline, the Buyer may, by registered letter with acknowledgement of receipt or in writing on another durable medium, require the Seller to perform within a reasonable additional period.

If performance has not taken place by the expiry of this new period, the Buyer may freely cancel the contract in the same manner.

The Buyer may, however, cancel the contract immediately where the Seller refuses to deliver, or where it fails to perform its obligation by the agreed date, if that date constituted an essential condition of the contract for the Buyer.

Where the contract is cancelled under these conditions, the Seller must refund the Buyer the full amount paid, no later than 14 days after the date on which the contract was terminated, in accordance with Article L216-3 of the French Consumer Code.

ARTICLE 13 — DELIVERY ARRANGEMENTS

Delivery means the transfer to the consumer of physical possession or control of the product. Products ordered are delivered to the address given by the Buyer when placing the order.

Deliveries are made by DPD mainland France. As soon as the order is dispatched, the Buyer receives an email containing the parcel tracking number.

The Buyer must ensure the accuracy of the delivery information they provide. Any parcel returned to the Seller due to an incorrect, incomplete or inaccurate delivery address provided by the Buyer will be reshipped at the Buyer's sole expense.

No paper invoice is included with the parcel. The Buyer can download their digital invoice via their customer account on the website, or request that it be sent by email to conso@jeannette1850.com.

In accordance with Article L216-4 of the French Consumer Code, the risk of loss or damage to the products is transferred to the Buyer when the Buyer, or a third party designated by the Buyer other than the carrier proposed by the Seller, physically takes possession of the products.

ARTICLE 14 — PARCEL NOT COLLECTED BY THE RECIPIENT

If the recipient is absent at the time of delivery, the carrier leaves a delivery notice allowing the Customer to collect their parcel according to the arrangements indicated (collection point, DPD depot, new home delivery attempt depending on the service chosen).

The Customer has the period indicated by the carrier to collect their parcel, generally 7 to 14 calendar days depending on the delivery method. After this period, the parcel is automatically returned to the Seller by the carrier.

Given the perishable nature of the products ordered (BBD of 60 to 90 days), a parcel that is not collected and is returned to the Seller can only be reshipped if the remaining BBD of the products is sufficient and if the integrity of the supply chain has been preserved.

In the event of a parcel not being collected and returned to the Seller, two options are offered to the Customer:

a) Reshipping the parcel

At the Customer's express request made by email to conso@jeannette1850.com within 7 days of the parcel being returned to the Seller, and provided the remaining BBD of the products allows it. The reshipping costs, identical to the original delivery costs, are borne entirely by the Customer and must be paid before a new shipment is made.

b) Refund

The Customer may request a refund of their order. The refund will cover the price of the products ordered, excluding:

the outbound delivery costs initially paid by the Customer;

the return costs charged to the Seller by the carrier, an amount equivalent to the outbound delivery costs, which will be deducted from the refund.

The refund is made within a maximum of 14 days following receipt of the parcel by the Seller, using the same payment method as that used for the order.

If the Customer does not respond within 30 days of the parcel being returned to the Seller, and given the perishable nature of the products, the Seller will proceed with an automatic refund under the arrangements set out in b) above, and the returned products will, where applicable, be destroyed.

ARTICLE 15 — RECEIPT OF THE PARCEL AND ANOMALIES

Upon receipt of the parcel, the Buyer is invited to check the apparent condition of the parcel and to report to the Seller, as soon as possible and no later than 3 working days after receipt, any anomaly noted (damaged parcel, missing products, damaged products, incorrect reference, etc.).

If, on delivery, the parcel shows obvious signs of damage (torn, opened or crushed packaging), the Buyer is invited to refuse it or, if they accept it, to note precise and detailed reservations on the carrier's delivery note.

Any complaint may be made:

by email to conso@jeannette1850.com (preferred method), preferably accompanied by photographs of the parcel and products;

by telephone on 02 31 70 81 00 (Monday to Friday, 9am-5.30pm).

After examining the complaint, the Seller will, at its discretion and depending on the circumstances, replace the products concerned, issue a credit note, or refund all or part of the order. No product may be returned without the Seller's prior agreement.

ARTICLE 16 — RIGHT OF WITHDRAWAL

16.1 Principle

In accordance with Articles L221-18 et seq. of the French Consumer Code, the Buyer has a period of 14 calendar days from receipt of their order to exercise their right of withdrawal, without having to justify their decision or bear any costs other than those provided for in Articles L221-23 to L221-25.

16.2 How to exercise the right of withdrawal

To exercise their right of withdrawal, the Buyer must notify the Seller of their decision by an unambiguous statement, for example:

by using the standard withdrawal form set out in the annex to these Terms;

by email to conso@jeannette1850.com;

by post addressed to the Seller's registered office.

For the withdrawal period to be met, it is sufficient for the Buyer to send their communication regarding the exercise of the right of withdrawal before the 14-day period expires.

16.3 Conditions for returning products

Given the food nature of the products, returns are only accepted if all of the following cumulative conditions are met:

the products are returned in their original packaging, perfectly intact, unopened, unsealed and undamaged;

the products show no signs of deterioration, soiling or use;

the BBD of the returned products allows them to be resold, i.e. at least 30 days remaining on receipt by the Seller;

the products are returned within a maximum of 14 days following notification of withdrawal;

the purchase invoice or a copy thereof is included with the return.

16.4 Products excluded from the right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for:

products unsealed by the consumer after delivery which cannot be returned for reasons of hygiene or health protection (Article L221-28 4°);

products liable to deteriorate or expire rapidly (Article L221-28 3°), which in particular covers products whose remaining BBD on receipt by the Seller would be less than 30 days;

products made to the consumer's specifications or clearly personalised (Article L221-28 2°), in particular personalised gift boxes and products with specific markings.

16.5 Refund arrangements

Subject to compliance with the conditions set out in 16.3, the Seller shall refund the Buyer for the price of the returned products and the standard delivery costs initially paid (excluding any additional costs resulting from the Buyer's choice of a delivery method more costly than the standard delivery method offered), within a maximum of 14 days from the date on which the Seller is informed of the Buyer's decision to withdraw.

The Seller may defer the refund until the products have been recovered or until the Buyer has provided proof of dispatch of the products, whichever occurs first.

The refund is made using the same payment method as that used by the Buyer for the order, unless the Buyer expressly agrees to a different method. This refund shall not incur any cost for the Buyer.

16.6 Return costs

The direct costs of returning the products shall be borne entirely by the Buyer, in accordance with Article L221-23 of the French Consumer Code, the Buyer having been duly informed of this before concluding the contract.

16.7 Refusal of non-compliant returns

Any returned product that does not meet the conditions set out in 16.3 (opened packaging, damaged or soiled products, insufficient BBD, etc.) will be refused. In such cases, the Buyer will be informed by email and may request that the products be returned to them at their own expense within 14 days, failing which the products will be destroyed without compensation.

ARTICLE 17 — STATUTORY GUARANTEES

Regardless of any commercial guarantee, the Seller remains bound by the statutory guarantees applicable to the sale of consumer goods, namely:

17.1 Statutory conformity guarantee

In accordance with Articles L217-3 to L217-17 of the French Consumer Code, the Seller delivers goods that comply with the contract and is liable for any lack of conformity existing at the time of delivery. The Buyer has a period of two years from delivery of the goods to bring a claim and may choose between repair or replacement of the goods, subject to the cost conditions set out in Article L217-12 of the French Consumer Code.

The Buyer is exempt from providing proof of the existence of the lack of conformity of the goods during the twenty-four months following delivery of the goods.

The statutory conformity guarantee applies independently of any commercial guarantee that may have been granted.

17.2 Guarantee against hidden defects

In accordance with Articles 1641 to 1649 of the French Civil Code, the Seller is bound by the guarantee against hidden defects in the item sold which render it unfit for its intended use, or which so diminish that use that the Buyer would not have purchased it, or would only have paid a lower price for it, had they been aware of them.

Any claim arising from such defects must be brought by the Buyer within two years of discovering the defect.

17.3 Implementing the guarantees

To make use of the statutory guarantees, the Buyer may contact customer service by email at conso@jeannette1850.com or by telephone on 02 31 70 81 00, specifying the nature of the defect noted and enclosing any relevant supporting documents (photographs, order number, etc.).

17.4 Information box

In accordance with Article D211-2 of the French Consumer Code, the Buyer:

has a period of 2 years from delivery of the goods to bring a claim against the Seller;

may choose between repair or replacement of the goods, subject to the cost conditions set out in Article L217-12 of the French Consumer Code;

is exempt from providing proof of the existence of the lack of conformity of the goods during the 24 months following delivery of the goods.

The statutory conformity guarantee applies independently of any commercial guarantee that may have been granted. The Buyer may decide to make use of the guarantee against hidden defects in the item sold within the meaning of Article 1641 of the French Civil Code; in that case, they may choose between rescission of the sale or a reduction in the sale price, in accordance with Article 1644 of the French Civil Code.

ARTICLE 18 — FORCE MAJEURE

Any circumstances beyond the parties' control that prevent the normal performance of their obligations shall be regarded as grounds for exemption from the parties' obligations and shall result in their suspension.

The party invoking the circumstances referred to above must immediately notify the other party of their occurrence, as well as of their cessation.

The following shall be regarded as cases of force majeure: any irresistible facts or circumstances, external to the parties, unforeseeable, unavoidable, beyond the parties' control and which cannot be prevented despite all reasonably possible efforts. In particular, the following are expressly regarded as cases of force majeure: the blocking of means of transport or supply, earthquakes, fires, storms, floods, lightning, the shutdown of telecommunications networks, epidemics and pandemics, general or sector-wide strikes affecting carriers, and administrative or governmental decisions preventing performance of the contract.

If the case of force majeure lasts longer than three months, these Terms may be terminated by the more diligent party, without compensation to either party.

ARTICLE 19 — INTELLECTUAL PROPERTY

All elements of the website www.jeannette1850.com (texts, photographs, illustrations, logos, trademarks, videos, distinctive signs, etc.) are protected by copyright, trademark law and, more generally, by intellectual property rights. The Seller is either the sole owner of these elements or holds the necessary authorisations for their use.

Any reproduction, representation, modification, publication, transmission or distortion, in whole or in part, of the website or its content, by any process whatsoever and on any medium whatsoever, is prohibited without the Seller's prior written authorisation, and constitutes an infringement punishable under Articles L335-2 et seq. of the French Intellectual Property Code.

The trademark "JEANNETTE 1850" and all other distinctive signs used on the website are the exclusive property of the Seller. Any unauthorised use is strictly prohibited.

ARTICLE 20 — PROTECTION OF PERSONAL DATA

20.1 Data controller

The controller for the personal data collected on the website is SAS JEANNETTE 1850, whose registered office is located at 23 Avenue du Pays de Caen, 14460 Colombelles, France.

20.2 Data collected

The personal data collected in connection with the use of the website include, in particular:

identification data: surname, first name, email address, telephone number, postal address;

connection and usage data: IP address, connection logs, browsing data;

data relating to orders and payment: purchase history, payment methods used (full bank details are not retained by the Seller);

communication data: exchanges with customer service;

cookies and trackers (see cookie policy).

20.3 Purposes and legal bases of processing

Data is processed for the following purposes:

management of orders, deliveries, payments and invoicing (legal basis: performance of the contract);

management of the customer account and personal area (legal basis: performance of the contract);

management of customer service and complaint handling (legal basis: performance of the contract and legitimate interest);

compliance with legal and accounting obligations (legal basis: legal obligation);

sending marketing communications and the newsletter (legal basis: user consent, revocable at any time);

prevention and detection of fraud (legal basis: legitimate interest);

improvement of services and statistics (legal basis: legitimate interest).

20.4 Data recipients

Data may be disclosed to the following recipients:

the Seller's internal departments responsible for customer relations, logistics and accounting;

technical service providers (host, payment provider, carriers, emailing provider) bound by contract and subject to confidentiality obligations;

administrative or judicial authorities where required by law.

20.5 Retention periods

Data is retained for the following periods:

customer account data: for the entire duration of the contractual relationship, then 3 years from the last active contact (last purchase, login or interaction) for marketing purposes;

data relating to orders and invoices: 10 years from the close of the accounting year, in accordance with Article L123-22 of the French Commercial Code;

bank data: not retained by the Seller (managed by the payment providers);

marketing data for non-customers (newsletter): 3 years from collection or the last contact;

cookies: period defined in the cookie policy (maximum 13 months for non-essential cookies);

connection logs: 12 months maximum.

20.6 Users' rights

In accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act, users have the following rights:

right of access to their data;

right of rectification;

right to erasure ("right to be forgotten") under the conditions provided for by the GDPR;

right to restriction of processing;

right to object to processing, in particular to marketing;

right to data portability;

right to withdraw consent at any time, where processing is based on consent;

right to set guidelines regarding the fate of their data after death.

20.7 Security

The Seller implements appropriate technical and organisational measures to ensure a level of security appropriate to the risk, in particular against destruction, loss, alteration, unauthorised disclosure of, or unauthorised access to, personal data.

ARTICLE 21 — COOKIES

The website uses cookies and other trackers to ensure it functions properly, to measure its audience and, subject to the user's consent, to offer personalised content and targeted advertising.

Users may, at any time, set their cookie preferences via the dedicated banner, accessible from the website's footer, or via their browser settings.

ARTICLE 22 — PARTIAL INVALIDITY

If one or more provisions of these Terms are held to be invalid or declared as such pursuant to a law, a regulation, or a final decision of a competent court, the other provisions shall remain fully valid and applicable.

ARTICLE 23 — NO WAIVER

The fact that either party does not avail itself of a breach by the other party of any of the obligations referred to in these Terms shall not be interpreted as a waiver, for the future, of the obligation in question.

ARTICLE 24 — LANGUAGE

These Terms are drafted in French. Should they be translated into one or more foreign languages, only the French text shall prevail in the event of a dispute.

ARTICLE 25 — MEDIATION AND DISPUTE RESOLUTION

In accordance with Articles L611-1 et seq. of the French Consumer Code, the Buyer may, in the event of a dispute with the Seller, refer the matter free of charge to a consumer mediator with a view to an amicable resolution, after first attempting to resolve the dispute directly with the Seller by way of a written complaint.

ARTICLE 26 — GOVERNING LAW AND JURISDICTION

These Terms are governed by French law. Any dispute relating to their formation, interpretation or performance shall, failing amicable resolution or mediation, be submitted to the competent French courts.

In accordance with Article R631-3 of the French Consumer Code, the consumer may bring proceedings, at their choice, in addition to one of the courts with territorial jurisdiction under the Code of Civil Procedure, before the court of the place where they resided at the time the contract was concluded or the harmful event occurred.
